1. Acceptance of Terms
By accessing or using Sprouted (the "Service"), you agree to be bound by these Terms of Service ("Terms") in their entirety. If you do not agree to all of these Terms, you may not access or use the Service. Sprouted reserves the right to modify, amend, or replace these Terms at any time, at its sole discretion, without prior notice. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.
2. Description of Service
Sprouted provides an AI-powered goal-setting and productivity platform that transforms user-submitted text into structured journey maps, task plans, and gamified experiences. The Service is provided "as is" and Sprouted makes no representations or warranties of any kind, express or implied, as to its operation, availability, accuracy, or completeness. Sprouted may modify, suspend, or discontinue any aspect of the Service at any time without notice or liability.
3. User Accounts
You must create an account to access certain features of the Service. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Sprouted reserves the right to terminate, suspend, or restrict any account at any time, for any reason or no reason, with or without notice. You agree to notify Sprouted immediately of any unauthorised use of your account.
4. User Content
You retain ownership of any content you submit to the Service ("User Content"). By submitting User Content, you grant Sprouted a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for any purpose, including improving, training, and developing the Service and related AI systems. You represent that you have all rights necessary to grant this licence. Sprouted is not responsible for any User Content and reserves the right to remove any User Content at its sole discretion.
5. Intellectual Property
All content, features, functionality, design elements, trademarks, logos, and technology comprising the Service are owned exclusively by Sprouted or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Service, its underlying technology, or any related intellectual property. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on any part of the Service without Sprouted's prior written consent.
6. AI-Generated Content
The journey maps, task plans, stories, and other outputs generated by Seed AI ("AI Content") are provided for informational and motivational purposes only. Sprouted does not guarantee the accuracy, suitability, or effectiveness of any AI Content for any particular purpose. AI Content does not constitute professional advice of any kind. Sprouted shall not be liable for any decisions made or actions taken in reliance on AI Content. You acknowledge that AI systems may produce inaccurate or inappropriate outputs, and you use AI Content entirely at your own risk.
7. Prohibited Conduct
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorised access to any part of the Service; (c) scrape, crawl, or extract data from the Service without express written permission; (d) submit content that is harmful, offensive, defamatory, or infringing; (e) use the Service to compete with Sprouted or to develop a competing product; (f) circumvent any technical measures implemented by Sprouted. Sprouted reserves the right to investigate and take appropriate legal action against anyone who violates these provisions.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SPROUTED DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPROUTED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF CAUSE OR THE THEORY OF LIABILITY, EVEN IF SPROUTED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SPROUTED'S TOTAL LIABILITY EXCEED THE GREATER OF USD $10 OR THE AMOUNT YOU PAID TO SPROUTED IN THE TWELVE MONTHS PRIOR TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Sprouted and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Sprouted is incorporated, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding individual arbitration. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Sprouted reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction.
12. Changes and Termination
Sprouted may update, modify, or discontinue the Service (or any part thereof) at any time without notice or liability. Sprouted may also terminate or suspend your access to the Service immediately, without prior notice, for any reason whatsoever, including if Sprouted believes you have violated these Terms. Upon termination, your right to use the Service ceases immediately. Sections 4, 5, 8, 9, 10, and 11 shall survive termination.
