Please read these Terms of Service carefully and in full before using the Sprouted platform. These Terms contain important provisions including disclaimers of warranties, limitations of liability, a no-refund policy, and a binding arbitration clause that affect your legal rights.

1. Acceptance of Terms

By accessing, registering for, or using the Sprouted platform ("Platform," "Service," or "we/us/our"), you ("User," "you," or "your") unconditionally agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional guidelines or policies incorporated herein by reference. If you do not agree to every provision of these Terms, you must immediately cease all use of the Platform. Your continued access constitutes irrevocable acceptance.

2. No Financial Advice — Absolute Disclaimer

SPROUTED IS NOT A FINANCIAL ADVISER, BROKER, DEALER, INVESTMENT ADVISER, OR TRADING PLATFORM. ALL CONTENT, SIGNALS, ANALYSIS, COMMENTARY, TRADE IDEAS, MARKET DATA, AI OUTPUTS, AND ANY OTHER INFORMATION PROVIDED THROUGH THE PLATFORM ("CONTENT") IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, OR ANY RECOMMENDATION TO BUY, SELL, OR HOLD ANY FINANCIAL INSTRUMENT WHATSOEVER. You acknowledge that trading financial instruments — including but not limited to cryptocurrencies, equities, foreign exchange, and derivatives — carries an extremely high risk of financial loss, including the potential loss of your entire capital. Past signal performance, accuracy statistics, and backtested results are historical and do not predict, guarantee, or imply future results of any kind. You are solely responsible for all trading decisions and outcomes.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts under the laws of your jurisdiction. By using the Platform you represent and warrant that: (a) you are at least 18 years old; (b) you are legally permitted to access financial information and trade financial instruments in your jurisdiction; (c) your use of the Platform does not violate any applicable law or regulation. We reserve the right to terminate your access immediately and without notice if we reasonably suspect any of these representations are false.

4. Subscription, Payment, and No-Refund Policy

ALL SUBSCRIPTION FEES ARE STRICTLY NON-REFUNDABLE. By subscribing to any paid plan, you acknowledge and agree that: (a) all charges are final and non-reversible upon processing; (b) no refunds, credits, or pro-rations will be issued for any reason, including but not limited to dissatisfaction with the Service, unused subscription periods, account suspension or termination (whether by you or by us), technical issues, signal performance, or any other cause; (c) subscription fees are charged in advance for the selected billing period (monthly or annual) and you waive any right to dispute or chargeback such payments. Cancellation of your subscription stops future billing but does not entitle you to any refund of amounts already charged. We reserve the right to change pricing at any time with 14 days' notice to your registered email address.

5. No Guarantee of Service Availability

We provide the Platform on an "as is" and "as available" basis without any warranty of any kind. We do not guarantee that the Platform will be available continuously, without interruption, error-free, or free from security vulnerabilities. We may suspend, restrict, or terminate access to the Platform at any time, for any reason, without prior notice and without liability to you. Scheduled or unscheduled maintenance, technical failures, third-party service disruptions, or force majeure events may cause downtime. No credits or refunds will be issued for periods of unavailability.

6. Accuracy Disclaimer

All signals, accuracy metrics, statistics, and performance figures published on the Platform are based on historical data and hypothetical back-testing. They are provided for illustrative purposes only. We make no representation, warranty, or guarantee — express or implied — as to the accuracy, completeness, timeliness, or fitness for a particular purpose of any Content. Signal accuracy rates quoted on the Platform represent historical averages only and carry no guarantee of future accuracy. Market conditions change without notice. You agree that reliance on any Content is entirely at your own risk.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPROUTED, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO: (a) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (b) ANY TRADING LOSSES OR FINANCIAL LOSSES INCURRED AS A RESULT OF RELIANCE ON ANY CONTENT; (c) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (d) PLATFORM DOWNTIME OR TECHNICAL FAILURES; OR (e) ANY OTHER MATTER RELATING TO THE PLATFORM — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO SPROUTED IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Sprouted and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Platform or reliance on any Content; (c) your trading decisions and their outcomes; (d) your violation of any third-party right; or (e) your violation of any applicable law or regulation.

9. Intellectual Property

All Content, software, trademarks, logos, trade names, service marks, designs, text, graphics, and other materials on the Platform are owned by or licensed to Sprouted Trade Ltd and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial use. You may not copy, reproduce, distribute, create derivative works from, publicly display, or exploit any part of the Platform or its Content without our prior written consent. Any feedback, suggestions, or improvements you provide to us may be used by us freely and without any obligation to you.

10. Prohibited Conduct

You agree not to: (a) use the Platform for any unlawful, fraudulent, or malicious purpose; (b) share, resell, or redistribute signals or Content to any third party; (c) share your account credentials; (d) attempt to reverse-engineer, scrape, crawl, or extract data from the Platform; (e) use automated tools, bots, or scripts to access the Platform; (f) attempt to circumvent any security, access control, or subscription paywall; (g) use Content to manipulate markets or engage in any market abuse or insider trading; (h) impersonate Sprouted or any of its personnel. Violation of any of these provisions may result in immediate account termination without refund.

11. Account Termination

We reserve the right, in our sole and absolute discretion, to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to breach of these Terms, suspected fraudulent activity, chargebacks, abusive behaviour, or prolonged inactivity. Upon termination, all licences granted to you immediately cease and you must stop using the Platform. No refunds will be issued upon termination regardless of cause.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform or upon notification to your registered email address. Your continued use of the Platform after any modification constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales. You waive any right to bring claims as a plaintiff or class member in any class action or representative proceeding.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sprouted with respect to the Platform and supersede all prior agreements, representations, and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
